You agree not to reproduce, distribute, create derivative works from, publicly display, or otherwise exploit any of the Website's content, except as expressly authorized by us in writing.

4A Intellectual Property Rights in AI-Generated Content

4A.1 Ownership. The User acknowledges and agrees that all intellectual property rights, including without limitation, copyrights, patents, trademarks, and trade secrets, in the artificial intelligence generated content provided through the Website (the "AI-Generated Content") are and shall remain the exclusive property of Tripy App, Inc., its affiliates or licensors, as the case may be. The User shall not have or acquire any ownership, title, or interest in or to the AI-Generated Content, except the license rights expressly granted to the User in accordance with Clause 4A.2.

4A.2 Grant of License. Subject to the User's compliance with this Agreement and any additional terms of use applicable to the Website and Mobile Applications, Tripy App, Inc.. hereby grants to the User a non-exclusive, personal, perpetual, irrevocable, worldwide, royalty-free, and fully transferable and sub-licensable right and license to:

(a) use, reproduce, distribute, display, perform, transmit, and create derivative works from the AI-Generated Content, in any and all media formats, whether now known or hereafter developed;

(b) modify, adapt, translate, and alter the AI-Generated Content, as well as to incorporate the AI-Generated Content into other works, in any form, manner, or technology; and

(c) transfer or sublicense the rights granted herein to any third party, without the need to obtain any consent or authorization from Newbie App, Inc. or any other party, and without any obligation to compensate Tripy App, Inc. or any such party in any way.

4A.3 Attribution. The User shall give proper attribution to Tripy App, Inc. in connection with the use, modification, display, distribution, or exploitation of the AI-Generated Content, by prominently displaying a statement, such as "Generated by Newbie App, Inc. " or "Content source: Newbie App, Inc.," in a manner reasonably acceptable to Newbie App, Inc.

4A.4 No Implied License. The grant of rights to the User under this Clause 4A shall not be construed to confer upon the User any license, right or interest, by implication or otherwise, in any intellectual property, materials or proprietary rights not expressly granted or licensed under this Agreement.

4A.5 Reservation of Rights. All rights not expressly granted under this Agreement are reserved by Newbie App, Inc., its affiliates, or licensors, as the case may be. No additional rights or licenses may be implied or inferred by or on behalf of the User from any course of dealing, custom or usage or trade, or otherwise.

5. User Conduct

5.1 You agree not to use the Website for any unlawful purpose or in any way that could interfere with, disrupt or negatively affect the Website or services provided thereon. You further agree not to:

(a) Submit false, misleading, or inaccurate information;
(b) Attempt to gain unauthorized access to the Website or engage in any activity that would compromise the Website's security;
(c) Use the Website to collect or store any personal data about other users;
(d) Use the Website in a manner that harasses, threatens, bullies, or violates the rights of others; or
(e) Post, upload, or distribute any content that infringes the rights of other parties, including copyrights, trademarks, trade secrets or other intellectual property rights.

5.2 Certain sections, features, or content on the Website or Mobile Application ("Restricted Services") may be accessible only to users who have registered an account with the Website ("Registered Users"). DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

7. Limitation of Liability

IN NO EVENT SHALL NEWBIE APP, INC. WHATSOEVER, INCLUDING DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE WEBSITE AND MOBILE APPLICATION OR ITS CONTENT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Indemnification

You agree to indemnify and hold harmless Newbie App, Inc. and, its affiliates, and their respective officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected to your access to or use of the Website or your violation of these Terms.

9. Governing Law and Dispute Resolution

These Terms and any dispute arising from or relating to these Terms or your use of the Website shall be governed by the laws of the United States and the state of New York without regard to its conflict of law provisions. Any legal action, suit, or proceeding arising out of or relating to these Terms or your use of the Website shall be brought exclusively in the courts of the United States and the state of New York.
